Info Hub: Cross-border merger between AirPlus International and SEB Kort  

Following the acquisition of AirPlus International GmbH by SEB Kort Bank AB in 2024, we are now preparing for the upcoming cross-border merger between the two companies. The legal merger of our two companies is an important step in our ambition to become the market leader in corporate payment solutions in Europe with international reach. 

The merger is planned to be completed by 3 August 2026 and will see the absorption of AirPlus International by SEB Kort and the universal transfer of its assets and liabilities.

This will result in changes that are relevant for your business and may require action from your side.

We have collected all the information on this page to help answer any questions you may have. Please share this page with anyone who might need it within your organization.

Important information at a glance

General FAQs

AirPlus International GmbH is subject to a cross‑border merger with its parent company SEB Kort Bank AB. Upon registration of the merger, AirPlus International GmbH will be absorbed by SEB Kort Bank AB, leading to its dissolution and the transfer of all its assets and liabilities to SEB Kort Bank AB by operation of law.

The cross-border merger will be realized on the basis of the Directive (EU) 2019/2121 of 27 November 2019, modifying Directive (EU) 2017/1132 as regards cross-border conversions, mergers, and divisions.

The cross-border merger is planned to be completed on 3 August 2026.

Apart from the transfer of the agreement to SEB Kort Bank AB, no changes will be made to the existing agreements. From 3 August 2026, SEB Kort will assume full legal responsibility for its performance. There is no need to sign any additional document or amendment to the current agreement.  

SEB Kort will create branches in the jurisdictions where AirPlus International GmbH currently has branches.

As from the merger date, your contracting party will be SEB Kort Bank AB.

The new branch names will be confirmed once approved by the respective authorities.

There are no changes to the company names of the AirPlus International subsidiaries in Italy, Switzerland, the UK, and the U.S.. They will keep their current names and registration numbers.

The legal entity is SEB Kort Bank AB, which will be the contracting party for all agreements. Products licensed in Germany and offered locally or on a cross-border basis will be issued by the German branch (legal name to be confirmed). 

When AirPlus International GmbH is merged into SEB Kort Bank AB and subsequently dissolved, its former subsidiaries will become direct subsidiaries of SEB Kort Bank AB. They will continue to exist as separate legal entities, just as they are today in relation to AirPlus International GmbH, with their current name and registration number.

The bank accounts held by AirPlus International will be changed to the new company name. The account number will stay the same and SEPA mandates will remain active.

However, the creditor ID* will be changed. Customers have to inform their bank about the change of the creditor ID to avoid any rejections of SEPA B2B direct debits by their bank.

After the merger, the new creditor ID will be SE24ZZZ5565746624.

 

* The creditor ID is a unique identifier that confirms AirPlus is an authorized SEPA creditor. It allows the customer’s bank to recognize the legitimate party permitted to collect payments from the customer’s bank account via SEPA direct debit. The creditor ID is electronically shared between AirPlus and the customer’s bank and is also included in the SEPA mandate signed by the customer.

We are currently awaiting confirmation from the relevant authorities about our new VAT number. Once the information becomes available, it will be published on this page.

Our new HRB number will be: HRB 58992. 

In addition, an extract from the commercial register will be shared on this page once available.

You will also receive another communication approximately one month prior to the legal merger, which will include these details.

A creditor ID is a unique value which identifies AirPlus as the entitled and authorized (SEPA) creditor.

No, there is no planned changes to the customer service contact details following the merger. You can continue to find support via our Support Pages.

Cardholders

Yes, your current corporate card will continue to work with your current card number and PIN. Upon your regular card renewal after the expiration date, your corporate card will reflect the new issuer name, SEB Kort.

Yes, your contract will be transfered to the new legal entity, SEB Kort, as is. All terms and conditions will remain valid and unchanged.

No, you will not need to sign or accept new terms & conditions. Your contract will be transferred to the new legal entity, SEB Kort, as is. All terms and conditions will remain valid and unchanged.

No, you do not need to update or change your card anywhere. Your current corporate card, including card number, CVV, and expiry date, will remain the same.

No, there are no changes planned to your current credit line or liability model. This will remain as is following the merger.

 The legal issuer of your corporate card will be the legal successor of the current issuer, meaning the legal entities and subsidiaries after the legal merger. For customers of AirPlus International GmbH, SEB Kort Germany, Branch of SEB Kort Bank AB will become the contractual issuer. 

From 3 August, all data included on the invoices will reflect the new legal setup.

Yes, there will be changes to the company details in some cases. For example, in some ebilling formats, the VAT ID is shown. This will be updated following the merger.

If any changes apply, they will be made available on this page.

Yes, you will need to update the beneficiary name to the new company, SEB Kort Germany, Branch of SEB Kort Bank AB, as of 3 August when making or authorizing payments to us.

The issuer name is generally not included in any authorization message. However, if the merchant accesses the official Mastercard issuer lookup service, they will see the changes.

The change of the creditor ID only impacts SEPA B2B direct debits, which are set up between two companies rather than with private individuals. 

Therefore, only customers holding a Type 1 AirPlus Corporate Card (where settlements are made via company bank accounts) with a SEPA B2B direct debit agreement in place will need to inform their bank of the new creditor ID.

No, there are no interruptions foreseen. You corporate card will continue to work with your current card number and PIN.

Customers, Partners & Merchants

Existing SEPA direct debit mandates will remain valid after the merger. SEB Kort Bank AB is the legal successor of AirPlus International GmbH, which includes all contacts as well as the mandates.

However, the creditor ID* will be changed.

If you have an existing SEPA B2B direct debit, you will have to inform your bank about the change of the creditor ID to avoid any rejections of the direct debits. This needs to be done on 3 August 2026 as doing so prior to this may cause disruption to your payments.  

Please note that this does not affect existing SEPA core direct debits.

After the merger, the new creditor ID will be SE24ZZZ5565746624.

Yes, you will continue to receive your invoices via the AirPlus Portal. The process will remain unchanged. 

No, there will be no changes to the product offering as a result of the legal merger. 

No, your corporate card will remain valid and there will be no changes to your card number or PIN. Upon your regular card renewal after the expiration date, your corporate card will reflect the new issuer name.

If you have an AirPlus payment product, this will still be serviced from Germany via the SEB Kort Bank AB Germany branch. 

There is no legal requirement to update documents issued before 3 August 2026, they remain legally valid, even if they contain AirPlus International GmbH.

However, any documents issued after 3 August 2026 should contain SEB Kort Bank AB instead of AirPlus International GmbH. The legal name of each subsidiary will not change. 

The product offering, including its availability in countries where AirPlus does not have a local legal entity (branch or subsidiary), will remain unchanged following the legal merger.

From 3 August onwards, please ensure that all payments to AirPlus are addressed to the new company name. The updated legal entity name will be published on this page once available. 

The new company name will be included in e-billing and TEM files as of 3 August 2026.

After the company merger, you will receive invoices from the German branch. The invoices will include a German VAT ID number and show input tax (VAT).

The change only applies from the merger date onwards (3 August). We recommend changing the master data as soon as possible after the official merger date, though this can be done before if you will not be using it before the merger date.

Vendor tool letters will be available on 3 August. Bank confirmations will be requested following the name change and will be made available as soon as our banks have completed the name change in their systems. Unfortunately, we cannot confirm the date as this is dependent on the banks.

Suppliers

Your service will still be used in Germany by the new SEB Kort Bank AB Germany branch. Please make sure that your invoices have the new name and VAT ID of the branch on it to ensure smooth payment. 

There is no grace period for accepting invoices issued under the old company name. Once the merger has been completed, all invoices must be addressed to the new company name and include the updated VAT ID.

If this is not the case, a corrected invoice will be required, which may result in delays in payment.

The agreements with AirPlus International in the UK, US, Switzerland, and Italy’s key suppliers have been reviewed. For agreements where the counter party has a right to terminate unless notified or asked for consent prior to the merger, we have reached out and obtained their consent.

Aside from this, the supplier agreements remain unchanged.
